PART I — TERMS AND CONDITIONS

1. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

  • “Platform” refers to the LexEdge website, web application, and all associated services accessible at lexedge.ai and its subdomains.
  • “AI Tools” means all artificial intelligence-powered features, utilities, and functionalities made available on the Platform, including both free-tier and paid-tier tools.
  • “User” or “You” means any individual, law firm, legal professional, organization, or entity that accesses or uses the Platform.
  • “Free Tools” refers to AI-powered tools and features available on the Platform at no charge, subject to applicable usage limits and restrictions.
  • “Paid Tools” or “Premium Tools” refers to AI-powered tools and advanced features accessible only upon payment of applicable subscription fees or per-use charges.
  • “Content” means any text, data, documents, files, outputs, results, or information generated, uploaded, submitted, or processed through the Platform.
  • “Subscription” means a recurring paid plan that grants access to Premium Tools and enhanced Platform features.
  • “LexEdge,” “We,” “Us,” or “Our” refers to LexEdge, a product of IndaPoint Technologies, with its registered office in India. Contact: support@lexedge.ai.

2. Acceptance of Terms

By registering, accessing, or using the Platform or any AI Tools (whether free or paid), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy, Digital Delivery Policy, and Cancellation and Refund Policy, each of which is incorporated herein by reference.

If you are using the Platform on behalf of a law firm, company, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Eligibility and User Registration

  • 3.1 Eligibility

    • You must be at least 18 years of age to use the Platform.
    • The Platform is designed for legal professionals, law firms, and organizations engaged in legal practice. Use by non-legal professionals is permitted but subject to the Disclaimer in Part II of this document.
    • You must not be barred from receiving services under applicable law.
  • 3.2 Account Registration

    • Accurate, current, and complete information must be provided during registration.
    • You are responsible for maintaining the confidentiality of your account credentials.
    • You must notify us immediately at support@lexedge.ai of any unauthorized access to your account.
    • LexEdge reserves the right to suspend or terminate accounts that violate these Terms.

4. Description of Services and AI Tools

4.1 Free Tools

LexEdge provides certain AI-powered tools at no cost. Free Tools are subject to:

  • Usage limits, such as number of requests, document size, and accessible features.
  • Availability on a best-effort basis without guaranteed uptime or SLA.
  • Modification, restriction, or discontinuation at any time without prior notice.
  • All restrictions and disclaimers set forth in these Terms and the Disclaimer (Part II).

4.2 Paid / Premium Tools

Paid Tools require an active Subscription or per-use payment. By subscribing:

  • You gain access to enhanced AI capabilities, higher usage limits, priority processing, and advanced features as described in the applicable plan.
  • Payment must be made in advance. Access to Paid Tools is contingent upon timely payment.
  • All fees are exclusive of applicable taxes unless stated otherwise.

4.3 Nature of AI Tools

All AI Tools on LexEdge, including document drafting assistants, compliance monitoring tools, case research aids, contract analysis features, and workflow automation, are powered by artificial intelligence and machine learning.

The outputs produced by these tools are generated algorithmically and are not the product of human legal judgment.

AI-generated outputs are provided as a starting point and productivity aid only. They must be reviewed, verified, and approved by a qualified legal professional before being relied upon for any legal matter.

5. Payments, Subscriptions, and Refunds

5.1 Billing

  • Subscription fees are billed on a recurring basis, monthly or annually, as selected at the time of purchase.
  • By providing payment information, you authorize LexEdge to charge the applicable fees to your payment method.
  • All amounts are stated in Indian Rupees (INR) or US Dollars (USD) as displayed on the pricing page.

5.2 Renewals and Cancellations

  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Cancellations must be submitted through account settings or by contacting support@lexedge.ai
  • Upon cancellation, access to Paid Tools remains active until the end of the current billing period.

5.3 Refunds

Refund eligibility is governed by our Cancellation and Refund Policy available on the Platform. In general:

  • Refunds are not provided for partial use of a billing period.
  • Technical issues that prevent access may be eligible for a pro-rated credit, at LexEdge’s sole discretion.
  • Digital delivery of AI outputs constitutes delivery. Refunds are not available once AI-generated content has been generated and delivered.

6. Acceptable Use Policy

You agree to use the Platform and AI Tools only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to generate content that is false, fraudulent, defamatory, threatening, harassing, or illegal.
  • Attempt to reverse-engineer, copy, scrape, or reproduce the AI models, algorithms, or underlying technology of the Platform.
  • Use the Platform to generate content that infringes any third-party intellectual property rights.
  • Submit confidential client information without obtaining appropriate client consent and ensuring compliance with applicable professional responsibility rules.
  • Use automated tools, bots, or scripts to access the Platform beyond permitted API usage.
  • Circumvent, disable, or interfere with security features of the Platform.
  • Share, resell, or sublicense access to Paid Tools without express written consent from LexEdge.
  • Use the Platform for any purpose that competes with LexEdge’s core business without prior written agreement.

7. Intellectual Property Rights

7.1 LexEdge’s IP

All technology, software, AI models, user interface elements, branding, trademarks, logos, and content developed by LexEdge or IndaPoint Technologies are the exclusive intellectual property of LexEdge. Nothing in these Terms grants you any rights in LexEdge’s intellectual property except the limited right to use the Platform as described herein.

7.2 Your Content

You retain ownership of documents, data, and inputs you upload to the Platform. By submitting content, you grant LexEdge a non-exclusive, royalty-free license to process your content solely for the purpose of providing the Services.

7.3 AI-Generated Output

Subject to payment of applicable fees and compliance with these Terms, AI-generated outputs produced from your inputs are licensed to you for your professional use. LexEdge does not claim ownership over outputs generated from your inputs; however, you acknowledge that similar outputs may be generated for other users from similar inputs.

8. Confidentiality and Data Privacy

LexEdge takes data privacy seriously. Your use of the Platform is subject to our Privacy Policy. Key commitments include:

  • We implement industry-standard technical and organizational security measures to protect your data.
  • We comply with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).
  • We do not sell your data to third parties.
  • You are solely responsible for ensuring that any data you submit to the Platform complies with applicable confidentiality obligations, bar council rules, and client consent requirements.

Legal professionals must ensure compliance with applicable professional secrecy and attorney-client privilege obligations before inputting client data into any AI tool.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXEDGE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, PROFESSIONAL SANCTIONS, DISCIPLINARY ACTION, LEGAL MALPRACTICE CLAIMS, OR DAMAGE TO REPUTATION — ARISING FROM YOUR USE OF THE PLATFORM OR AI TOOLS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Platform shall not exceed the amount you paid to LexEdge in the twelve (12) months preceding the claim, or INR 5,000 (whichever is less) for free-tier users.

10. Indemnification

You agree to indemnify, defend, and hold harmless LexEdge, IndaPoint Technologies, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from:

  • Your use or misuse of the Platform or AI Tools.
  • Your violation of these Terms.
  • Your violation of any applicable law, professional conduct rule, or third-party right.
  • Any reliance on AI-generated output without independent professional verification.

11. Modifications to Platform and Terms

LexEdge reserves the right to:

  • Modify, suspend, or discontinue any feature, tool, or the entire Platform at any time, with or without notice.
  • Amend these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform.
  • Continued use of the Platform following notification of changes constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

Before initiating legal proceedings, you agree to first attempt to resolve disputes amicably by contacting support@lexedge.ai with a detailed description of the concern. We will endeavour to respond within 15 business days.

13. General Provisions

  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between you and LexEdge regarding the Platform.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of future enforcement of that right.
  • Assignment: You may not assign your rights under these Terms without prior written consent. LexEdge may assign rights to a successor entity.
  • Language: These Terms are in English. In the event of conflict with any translated version, the English version prevails.

PART II — DISCLAIMER

14. No Legal Advice

CRITICAL DISCLAIMER: LexEdge is a technology platform. LexEdge is NOT a law firm, does NOT provide legal advice, and does NOT establish an attorney-client relationship. Nothing on the Platform — including any AI-generated output, blog post, template, document draft, or tool result — constitutes legal advice, legal opinion, or a substitute for consultation with a qualified, licensed legal professional.

The AI Tools on LexEdge are designed to assist legal professionals in their workflow — not to replace professional legal judgment. Any output generated by the Platform must be independently reviewed, evaluated, and verified by a competent legal professional before being relied upon.

15. Limitations and Accuracy of AI-Generated Content

Artificial intelligence tools, including those powered by large language models, have inherent limitations that users must understand and account for:

  • AI may generate incorrect, outdated, incomplete, or misleading information, sometimes referred to as “hallucinations”.
  • AI outputs may not reflect the most current laws, regulations, case law, or procedural rules applicable to your jurisdiction.
  • AI does not understand context the way a human legal professional does; subtle factual nuances may be missed or misinterpreted.
  • AI-generated documents, contracts, or legal drafts may contain errors, omissions, or clauses unsuitable for your specific circumstances.
  • AI cannot assess credibility, witness demeanor, jurisdictional exceptions, or equitable considerations.

LexEdge makes no warranty, express or implied, that AI-generated outputs are accurate, complete, up-to-date, or fit for any particular legal purpose.

16. Professional Responsibility of Legal Professionals

Legal professionals using LexEdge bear full professional responsibility for all work product derived from or assisted by the Platform, including:

  • Supervising and verifying all AI-generated outputs before use in any legal matter.
  • Ensuring compliance with applicable bar council rules, professional conduct obligations, and ethical guidelines regarding the use of technology and AI in legal practice.
  • Obtaining informed client consent where required before using AI tools to process client-related information.
  • Exercising independent professional judgment on all legal matters. AI Tools are an aid, not a replacement for that judgment.

LexEdge shall not be liable for any professional disciplinary action, sanction, bar complaint, malpractice claim, or adverse legal outcome arising from a legal professional’s use or misuse of the Platform.

17. Jurisdictional Disclaimer

The Platform is operated from India. The laws of India apply to these Terms and the use of the Platform. LexEdge does not represent that the Platform’s AI Tools comply with the laws, bar rules, or professional conduct regulations of any jurisdiction outside India.

Users in other jurisdictions — including but not limited to the United States, United Kingdom, European Union, UAE, or Singapore — are responsible for independently verifying that their use of the Platform complies with their applicable local laws and professional obligations.

18. Third-Party Services and Links

The Platform may integrate with or reference third-party services, APIs, or tools. LexEdge does not endorse, control, or assume responsibility for any third-party services. Use of third-party services is at your own risk and subject to their respective terms and privacy policies.

19. Disclaimer of Warranties

THE PLATFORM AND ALL AI TOOLS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

LexEdge does not warrant that the Platform will meet your requirements, that results obtained from the Platform will be accurate or reliable, or that any errors in the Platform will be corrected.

20. Blog and Informational Content Disclaimer

The LexEdge blog, FAQs, guides, and informational articles published on the Platform are for general educational and informational purposes only. They are not intended to constitute legal advice and should not be treated as such. Information in blog posts may not reflect the most current legal developments.
